Founded in 2005, the company has strategically acquired a portfolio of properties in key leisure and business destinations across the United States. A significant milestone was its evolution from a private entity to a publicly traded company, enhancing its access to capital for further expansion and portfolio enhancement.

Company business area logo Core Business Areas

  • Hotel Ownership and Operations: Braemar's primary business is the ownership and operation of a portfolio of luxury and upper-upscale hotels and resorts. These properties are typically managed by third-party hotel management companies under various well-known brands.
  • Real Estate Investment: As a REIT, Braemar's core activity involves investing in hotel real estate. This includes identifying attractive acquisition opportunities, managing its existing portfolio, and divesting assets when strategically beneficial.

Top Products and Market Share

Product Key Offerings logo Key Offerings

  • Luxury Hotel Stays: Braemar offers upscale lodging experiences at its portfolio of hotels, catering to both leisure and business travelers. These offerings include well-appointed rooms, fine dining, event spaces, and various amenities. Competitors include other hotel REITs, private equity firms investing in hospitality real estate, and individual hotel owners.
  • Event and Conference Facilities: Many of Braemar's properties feature robust facilities for hosting meetings, conferences, weddings, and other events. This segment competes with convention centers, dedicated event venues, and other hotels with similar capabilities.

Market Dynamics

industry overview logo Industry Overview

The hotel and resort industry is cyclical and sensitive to economic conditions, travel trends, and consumer spending. It is characterized by significant competition, operational complexities, and the need for continuous investment in property upgrades and guest services. The rise of short-term rental platforms has also introduced a competitive dynamic.

Positioning

Braemar Hotels & Resorts Inc. is positioned as a specialized REIT focused on the luxury and upper-upscale segment of the lodging market. Its competitive advantages lie in its diversified portfolio of well-located properties and its strategy of partnering with reputable third-party operators. However, its reliance on third-party managers means it has less direct control over operational execution.

Total Addressable Market (TAM)

The total addressable market for hotel and resort real estate is substantial, encompassing billions of dollars globally. Braemar operates within the US lodging market, which is a significant portion of this TAM. Its positioning is as a player within the luxury and upper-upscale segment, representing a smaller but high-value sub-segment of the overall market.

  • Experienced management team with expertise in real estate investment and hotel operations.
  • Access to capital markets for potential growth and refinancing.
  • Diversified geographic presence within its portfolio.

Weaknesses

  • Reliance on third-party hotel managers for operational execution.

  • High debt levels can increase financial risk.
  • Potential for interest rate fluctuations impacting borrowing costs.

Opportunities

  • Potential for strategic acquisitions to expand and diversify the portfolio.
  • Renovation and repositioning of existing assets to enhance value and RevPAR (Revenue Per Available Room).
  • Growth in leisure travel post-pandemic and increased demand for experiential lodging.
  • Economic recovery leading to stronger business and corporate travel.

Threats

  • Intensifying competition from other hotel brands and alternative lodging options.
  • Rising operational costs, including labor and supplies.

Competitive Landscape

Braemar's advantages include its focus on the luxury segment and its diversified portfolio. However, it faces competition from larger, more established REITs with greater scale, access to capital, and potentially more favorable debt terms. Its smaller size compared to some competitors can be a disadvantage in negotiating with major hotel brands and third-party operators.

Growth Trajectory and Initiatives

Historical Growth: Braemar's historical growth has been driven by strategic acquisitions and the performance of its existing hotel portfolio. The company aims for growth in RevPAR and overall portfolio value through property enhancements and effective management.

Future Projections: Future growth projections are typically based on analyst estimates that consider market trends, economic outlook, and the company's strategic initiatives. These projections often focus on anticipated increases in revenue, profitability, and portfolio expansion.

Recent Initiatives: Recent initiatives may include property renovations, strategic dispositions of underperforming assets, and efforts to optimize operational efficiency, often in collaboration with third-party management companies.

Summary

Braemar Hotels & Resorts Inc. operates in the competitive hotel REIT sector, with a focus on upscale properties. Its strengths lie in its portfolio quality and strategic acquisitions. However, it faces challenges from industry cyclicality, reliance on third-party managers, and significant debt. The company needs to vigilantly manage its debt, optimize property performance, and capitalize on recovering travel trends to ensure sustainable growth and shareholder value.

We are a Maryland corporation formed in April 2013 that invests primarily in high revenue per available room ("RevPAR"), luxury hotels and resorts. High RevPAR, for purposes of our investment strategy, means RevPAR of at least twice the then-current U.S. national average RevPAR for all hotels as determined by STR, LLC. Two times the U.S. national average was $199 for the year ended December 31, 2024. We have elected to be taxed as a REIT under the Code. We conduct our business and own substantially all of our assets through our operating partnership, Braemar OP. We operate in the direct hotel investment segment of the hotel lodging industry. As of September 30, 2025, we owned interests in 14 hotel properties in six states, the District of Columbia, Puerto Rico and St. Thomas, U.S. Virgin Islands with 3,438 total rooms, or 3,298 net rooms, excluding those attributable to our joint venture partner. The hotel properties in our current portfolio are predominantly located in U.S. urban markets and resort locations with favorable growth characteristics resulting from multiple demand generators. We own 13 of our hotel properties directly and one hotel property through an investment in a majority-owned consolidated entity. We are advised by Ashford Hospitality Advisors LLC through an advisory agreement. Ashford LLC is a subsidiary of Ashford Inc. All of the hotel properties in our portfolio are currently asset-managed by Ashford LLC. We do not have any employees. All of the services that might be provided by employees are provided to us by Ashford LLC. We do not operate any of our hotel properties directly; instead, we contractually engage hotel management companies to operate them for us under management contracts. As of September 30, 2025, Remington Hospitality, a subsidiary of Ashford Inc., managed five of our 14 hotel properties. Third-party management companies managed the remaining hotel properties.
